1. Acceptance of Terms
Monezzi is an operating platform for non-US founders forming and running US companies. The service is provided by GoldPath Media LLC, a US limited liability company (referred to in these Terms as "Monezzi", "we", "us" or "our"). By creating an account, placing an order or otherwise accessing the platform, you agree to be bound by these Terms of Use.
If you do not agree with any part of these Terms, do not access or use the platform. Your continued use of Monezzi constitutes acceptance of the Terms in effect at that time.
2. Eligibility
To use Monezzi you must:
- Be at least 18 years old and have full legal capacity in your country of residence.
- Provide accurate, current and complete information when you register and update that information whenever it changes.
- Not be a resident of, or ordinarily located in, any country subject to comprehensive US sanctions, and not be on any US, UN, EU or UK sanctions or restricted-party list.
- Use the platform only for lawful purposes connected to legitimate business activity.
We may refuse service, suspend an account or cancel an order at our discretion if we believe these eligibility requirements are not met.
3. Your Account
You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Choose a strong password, do not share it with anyone and notify us promptly if you suspect unauthorised access.
You agree that the email address, identity documents and corporate information you submit are truthful and belong to you or to the entity you are authorised to represent. Misrepresentation of identity or beneficial ownership is grounds for immediate termination and may be reported to the relevant authorities.
4. Description of Services
Monezzi helps non-US founders form US companies (typically LLCs or C-Corps) and operate them remotely. Depending on your selected plan and add-ons, we may act as your registered agent, prepare and file formation documents with the relevant Secretary of State, prepare and submit EIN and ITIN applications to the IRS, file BOI reports with FinCEN, file annual reports, prepare federal Form 5472 and related filings, and store related documents in your account.
Monezzi is not a law firm and is not a substitute for advice from a licensed attorney, certified public accountant or tax adviser. We do not provide legal advice, tax advice or fiduciary advice. We file documents on your behalf based on the information you provide; the legal and tax consequences of those filings are yours.
Communications with Monezzi are not protected by attorney-client privilege. If you need legal advice for your specific situation, you should consult a licensed attorney in the relevant jurisdiction.
5. Payments and Billing
Fees for our services are displayed at the time of order. By placing an order or activating a subscription you authorise Monezzi (and its payment processor) to charge the payment method on file for the applicable fees, including recurring renewals where the service is offered on a subscription basis.
Government filing fees, state franchise taxes, registered agent fees and any third-party charges are passed through and may be billed separately. Currency conversion, card network and bank fees are your responsibility.

6. Third-Party Services
Delivering our services requires us to interact with third parties on your behalf, including state Secretary of State offices, the Internal Revenue Service (IRS), FinCEN, registered agents, banking partners, payment processors such as Stripe, identity-verification providers and document-storage providers. These third parties operate under their own terms and timelines.
Monezzi facilitates these interactions but does not control third-party decisions. Acceptance or approval timelines published by any government agency or bank are estimates only; we cannot guarantee state filing, IRS processing, FinCEN acceptance, bank approval or any other third-party outcome.
Your relationship with a bank or payment processor opened through Monezzi is directly between you and that provider; their account agreement governs that relationship.
7. Acceptable Use
You agree not to use Monezzi to:
- Form or operate an entity for any unlawful purpose, including fraud, money laundering, terrorism financing, sanctions evasion or tax evasion.
- Misrepresent the beneficial ownership, control or source of funds of any entity you form or maintain through the platform.
- Conduct any business that is illegal under US federal law or under the law of the state of formation, including unlicensed financial services, unregulated gambling, illicit substances or sanctioned trade.
- Reverse engineer, scrape, copy or resell the platform, its content or its underlying software.
- Interfere with the security, availability or integrity of the platform or attempt to access accounts or data that are not yours.
We may investigate suspected violations, cooperate with law enforcement and report unlawful activity. Breaches of this section are grounds for immediate suspension or termination of your account.
8. Intellectual Property
The Monezzi name, logo, marks, website, dashboard, templates, source code, documents, content and the selection and arrangement of all of the above are the property of GoldPath Media LLC or its licensors and are protected by US and international intellectual-property law. Nothing in these Terms transfers any of those rights to you.
You retain ownership of the personal and business information you submit. You grant Monezzi a limited, non-exclusive, worldwide, royalty-free licence to host, process, transmit and use that information solely to provide the services you ordered, to comply with legal obligations and to operate the platform.
9. Disclaimers and Warranties
The platform and all services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Monezzi disclaims all warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty that the platform will be uninterrupted, error-free or secure.
We do not warrant that any state filing, EIN, ITIN, BOI report, bank application or tax filing will be accepted, approved or completed within any particular timeframe. Processing times are controlled by the relevant government agency or third party.
10. Limitation of Liability
To the maximum extent permitted by law, Monezzi, its affiliates, officers, employees and contractors shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of the platform — even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising out of or related to the platform or these Terms shall not exceed the total amount of fees you actually paid to Monezzi for the services giving rise to the claim during the twelve (12) months preceding the event that gave rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.
11. Indemnity
You agree to defend, indemnify and hold harmless Monezzi, its affiliates, officers, employees and contractors from and against any claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) information you submitted that was inaccurate, misleading or unlawful; (c) your use of the entity formed through Monezzi; or (d) your violation of any applicable law or any third-party right.
12. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access to all or part of the platform at any time, with or without notice, if we believe that you have breached these Terms, that your account poses a legal, sanctions or fraud risk, or that continued service is impractical.
Termination does not relieve you of any payment obligations already accrued, of statutory compliance obligations attached to any entity you have formed (such as annual reports, BOI updates or federal tax filings), or of obligations under sections of these Terms that by their nature survive termination — including intellectual property, disclaimers, limitation of liability, indemnity and governing law.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and, where applicable, the laws of the state of formation of GoldPath Media LLC, without regard to its conflict-of-laws rules.
Any dispute, claim or controversy arising out of or relating to these Terms or your use of the platform shall be resolved through final and binding individual arbitration administered under the rules of a recognised US arbitration provider, conducted in the English language. You and Monezzi each waive the right to a jury trial and the right to participate in any class action or class arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a competent court to protect intellectual-property rights or confidential information.
14. Amendments
We may update these Terms from time to time to reflect changes in our services, in applicable law or in our business. When we make material changes we will update the "Last updated" date at the top of this page and, where appropriate, notify active users by email or through the dashboard.
Your continued use of Monezzi after a change becomes effective constitutes acceptance of the revised Terms. If you do not accept the change, you must stop using the platform.
