Terms of Use for Monezzi

Welcome to Monezzi, a GoldPath Media LLC initiative. By accessing or using our Platform, you agree to comply with these Terms of Use ("Terms"). Please read them carefully. If you do not agree, you may not access or use the Platform.

1. Ownership of Intellectual Property

All content on the Monezzi Platform, including text, graphics, software, data, and designs, is the exclusive property of Monezzi unless otherwise indicated. Monezzi retains all rights, titles, and interests worldwide. Unauthorized use of intellectual property may result in civil and criminal penalties.

2. User Representations and Warranties

Users agree to use the Platform in accordance with these Terms and applicable laws. Users represent that they have all rights and permissions necessary to provide content and information on the Platform and to use the Platform lawfully.

3. Disclaimer of Warranties

The Platform and services are provided "as-is" and "as available". Monezzi does not guarantee accuracy, completeness, or reliability. Users acknowledge potential downtime, technical errors, or inaccuracies and accept the inherent risks.

4. Limitation of Liability

Monezzi, its employees, affiliates, and contractors are not liable for direct, indirect, incidental, consequential, or punitive damages arising from use or inability to use the Platform. The maximum liability for any claim shall be limited to $100 USD.

5. Third-Party Service Providers

Monezzi may engage independent third-party service providers to perform tasks including company formation, banking, tax filing, and compliance services. These providers are independent contractors, and Monezzi is not liable for their actions. Users acknowledge that Monezzi coordinates but does not control third-party business practices.

6. Indemnification

Users agree to defend, indemnify, and hold harmless Monezzi, its affiliates, partners, employees, and contractors from any claims, damages, or expenses arising from: infringement of third-party rights, unlawful or unethical information shared, failure to obtain required permissions, or breach of representations or warranties under these Terms.

7. Unlawful Activity and Termination of Access

Monezzi may investigate violations and report unlawful activity to authorities. Monezzi may suspend or terminate access to the Platform at any time for violations of these Terms or applicable law. Users cannot claim rights or receivables upon termination.

8. Following Termination

Upon termination of these Terms, all user rights are immediately revoked. Sections that survive termination include Ownership of IP, Disclaimer of Warranty, Limitation of Liability, Indemnification, Unlawful Activity, Governing Law, Severability, and Miscellaneous Provisions.

9. Governing Law

These Terms are governed by the laws of Delaware, USA, without conflict of law provisions. Disputes are subject to exclusive jurisdiction in Delaware state and federal courts. Prevailing parties may recover reasonable attorney fees.

10. Severability

If any provision is found invalid or unenforceable, it applies only to that provision and does not affect the remainder of the Terms.

11. Miscellaneous Provisions

Headings are for reference only and do not affect interpretation. Failure to assert rights does not waive them. The Platform may experience interruptions due to maintenance or force majeure. Terms cannot be assigned without Monezzi approval. Third-party services are accessed at your own risk. Users may seek independent legal advice before agreeing.
